• Proper account setup and configuration
• No fraudulent or deceptive practices

The number and timing of reviews depend on factors beyond our control, including customer responsiveness and satisfaction levels.

Payment terms for our Services include:

Upon termination, your right to use the Services will cease immediately, but these Terms will remain in effect regarding past use.

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. CLIENTSEED EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability and fitness for a particular purpose
• Warranties regarding the accuracy, reliability, or completeness of information
• Warranties that the Services will be uninterrupted or error-free
• Warranties regarding specific results or outcomes

IN NO EVENT SHALL CLIENTSEED, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, data, or business opportunities
• Damage to reputation or goodwill
• Business interruption or service disruption
• Cost of substitute goods or services

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE CLAIM.

You agree to defend, indemnify, and hold harmless Clientseed and its affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Any customer data you provide to us
• Any fraudulent or deceptive practices

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law provisions.

Any disputes arising from these Terms or your use of the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect.

Your continued use of the Services after any such changes constitutes your consent to such changes.
